Terms of Use

These terms and conditions govern the terms and conditions of use of the review management platform 'U-KOMI' (hereinafter referred to as the 'Service') provided by Subspire Inc. Users must fully understand and agree to the Terms of Use before using the Service.


Chapter 1 (General Provisions)


Article 1 (Scope of Application)

  • 1.These Terms of Use shall apply between the Company and the user (hereinafter referred to as the 'User') with respect to the Service.
  • 2.These Terms of Use define the terms and conditions of use and the rights and obligations associated with the Service.

Article 2 (Agreement to Terms and Conditions and Formation of Contract)

  • 1.Use of this service requires agreement to these Terms of Use.
  • 2.Upon completion of account registration, the user is deemed to have agreed to the terms and conditions of this Agreement, and a contract regarding the Service is formed between the Company and the user.
  • 3.Minors shall use the Service only after obtaining the consent of a person with parental authority or a legal representative.

Article 3 (Modification of Terms and Conditions)

  • 1.The Company reserves the right to modify these Terms and Conditions as necessary.
  • 2.Any changes to the Terms and Conditions will become effective upon posting on the Company's website.

Article 4 (Definitions)

Terms used in this Agreement are defined as follows

  • • 'User':any individual or legal entity that uses the Service.
  • • 'Review Assets':data relating to reviews posted or provided by purchasers ('Reviewers').
  • • 'Verified Buyer Badge':A certificate of authenticity awarded to reviews with verified purchase history.


Chapter 2 (Services)


Article 5 (Services Provided)

  • 1.This service provides the following functions
    ・ Review Management
    ・ Badge function for improved reliability
    ・ Public and private review settings
  • 2.The details and availability of each feature vary based on the subscription plan.

Article 6 (Handling of Data)

  • 1.The copyright of the review assets provided by the user belongs to the user, but we reserve the right to use them to the extent necessary to provide this service.
  • 2.We may require edits or deletions to ensure the proper use of the reviewed assets.
  • 3.The use of data is subject to our Privacy Policy.


Chapter 3 (Fees and Payments)


Article 7 (Fee Structure)

  • 1.The service's fee structure consists of several plans, each of which includes different features and services.
  • 2.Each plan includes the use of a specific amount of visual content (images and videos), and an additional charge per GB will apply for any usage in excess of the specified data volume.

Chapter 4 (Terms of Use)


Article 8 (Eligibility for Use)

  • 1.The Subscriber warrants that
    • ・ Be of legal age to use the service.
    • ・ not use the Service for any illegal or inappropriate purposes.

Article 9 (Handling of Data from External Integrations)

Data obtained from external services (such as e-commerce systems) that users have linked with our service will be handled appropriately in accordance with our Privacy Policy and solely for the purposes of providing the service.


Article 10 (Indication of Credits)

  • 1.Users may not delete, modify, or conceal credits such as 'Powered by U-KOMI' included in the provided content.
  • 2.However, this credit can be removed only if the official 'white label' feature is used.
  • 3.Manual CSS or other methods of removal are not permitted.

Article 11 (Prohibited Matters)

  • 1.In addition to the other prohibitions set forth in this Agreement, you are prohibited from using our website or its contents for any of the following
    • (a) use for any unlawful purpose; or
    • (b) Soliciting the performance or participation in any illegal activity.
    • (c) Violating any legal norms, whether international or local, laws, ordinances, etc.
    • (d) Any act that infringes or may infringe intellectual property rights, property rights, privacy rights, portrait rights or other rights, including copyrights, of the Company, the User, other users of the Service, third parties or the Company.
    • (e) Harass, abuse, insult, harm, defame, slander, threaten, or discriminate on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability
    • (f) Transmitting false or misleading information.
    • (g) reverse engineer, decompile, disassemble, or otherwise copy any related technology performed with respect to the Services or uploading or transmitting viruses or other types of malicious code that may be used
    • (h) Illegally obtaining or using authentication credentials (such as API keys) for external services intended to be integrated with this service.
    • (i) collect or track personal information about others.
    • (j) spamming, phishing, pharming, fraudulent activity, spidering, crawling, or scraping
    • (k) Use for obscene or immoral purposes.
    • (l) Interfere with or circumvent the security features of the Services, related websites, other websites, or the Internet.
    • (m) In addition to the above, any other acts that may cause disadvantage to the Company or adversely affect the Service.
  • 2.We reserve the right to terminate your use of the Service or related website if you violate any of the prohibited uses.

Article 12 (Acquisition of Personal Information, etc.)

  • 1.The user agrees to provide the Company with the following personal information and related data
    • ・ Personal information such as (but not limited to) name, address, telephone number, e-mail address, and ID on the e-commerce site.
    • ・ Order information and other relevant data on the e-commerce site.
  • 2.We will handle the personal information of users provided in accordance with the preceding paragraph appropriately in accordance with our Privacy Policy (https://u-komi.com/privacy), which is separately stipulated by us.
  • 3.Before using the Service, users shall be sure to review and agree to the Company's Privacy Policy.


Chapter 5 (Suspension and Change of Service)


Article 13 (Suspension and Cessation)

  • 1.The Company may temporarily suspend or discontinue the Service in the following cases
    • ・ System maintenance or fault handling.
    • ・ Force majeure such as natural disasters.
    • ・ When the Company deems it necessary for other reasons.
  • 2.The Company shall not be liable for any damages incurred by the user as a result of interruption or suspension.

Article 14 (Change of Service Contents)

The Company may change or terminate the Service by notifying the user.



Chapter 6 (Termination of Contract)


Article 15 (Suspension of Use and Termination of Contract)

  • 1.The Company may terminate the contract with the user in the following cases
    • ・ If there is a violation of these Terms and Conditions.
    • ・ When unauthorized use is found.
  • 2.The Company shall not be liable for any damages resulting from the cancellation of the contract.

Article 16 (Exclusion of Antisocial Forces)

  • 1.Both the Company and the User represent and warrant that neither they themselves nor their officers, employees, or related parties are, now or in the future, members of organized crime groups, companies affiliated with such groups, corporate racketeers, so-called “social activists” engaging in extortion, or any other similar antisocial forces (hereinafter collectively referred to as “Antisocial Forces”), and further represent and warrant that they will not make use of Antisocial Forces.
  • 2.In the event it becomes evident that either the Company or the User falls under Antisocial Forces, or is found to have made use of Antisocial Forces, the other party may immediately terminate this Agreement without any prior notice or demand.
  • 3.A party whose agreement is terminated pursuant to the preceding paragraph shall not make any claim for damages or compensation arising from such termination.


Chapter 7 (Limitation of Liability and Disclaimer of Liability)


Article 17 (Limitation of Liability)

  • 1.We shall not be liable for any direct or indirect damages resulting from the use of the Service, unless such damages are caused intentionally or through gross negligence.
  • 2.Users shall use the Service at their own risk.

Article 18 (Disclaimer)

  • 1.This service is provided 'as is' and is not guaranteed as to fitness for a particular purpose or completeness.
  • 2.We are not responsible for damages resulting from technical problems or the actions of third parties.


Chapter 8 (Governing Law and Jurisdiction)


Article 19 (Governing Law)

These Terms and Conditions are governed by the laws of Japan.


Article 20 (Agreed Jurisdiction)

The Kyoto District Court shall have exclusive jurisdiction over any and all disputes related to these Terms and Conditions.
